SDS Terms and Conditions
Effective Date: 27th August 2024
1. Scope of Work
Saifee Digital Solutions ("We" or "Us") agrees to provide the client ("You") with the services outlined in the project proposal. The scope of work, deliverables, and timeline will be detailed in the proposal and mutually agreed upon by both parties.
2. Payment Terms
Payment terms depend on the project scope:
- For Projects Under £1,000: 100% payment is required upfront.
- For Projects Over £1,000: A 50% non-refundable deposit is required before work begins, 25% upon finalization of the design scope and approval, and the remaining 25% prior to the final handover.
- Payments are accepted via bank transfer.
3. Project Timeline
The project timeline will be outlined in the project proposal. Delays caused by the client, such as late provision of materials, feedback, or approvals, may extend the project timeline. Expedited deadlines may incur additional fees.
4. Intellectual Property and Ownership of Files
Saifee Digital Solutions retains ownership of all original design files, code, and intellectual property until full payment is received. Upon full payment, you will own the final approved designs or developed website. We reserve the right to showcase completed work in our portfolio unless otherwise requested.
5. Revisions
- Graphic Design: Each project includes two major revision iterations. Additional major revisions will be charged at 50% of the total project cost. Minor changes within 10 days are included; after that, a 5% fee applies.
- Websites: The design scope will be agreed upon initially, with a single page created for approval. Post-approval design revisions will be charged at 50% of the project cost per revision. Content-related changes are included.
- Monthly Retainers: Content changes within 10 days of delivery are included. Afterward, a flat fee of £75 + £25 per development hour applies. Clients with a maintenance plan are exempt from these fees.
- Software: Major revisions beyond the agreed scope will be quoted separately based on the requirements and changes requested.
6. Termination
- Client-Initiated: If work has not started, you are entitled to a refund of any payments made beyond the non-refundable deposit. If work has started, no refund of the deposit will be given. Refunds beyond the deposit are at our discretion.
- SDS-Initiated: You are entitled to a refund for work not completed. If no files or work have been handed over, you are entitled to a full refund, including the deposit.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project.
8. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their control.
9. Dispute Resolution
In the event of a dispute, both parties agree to seek resolution through mediation or arbitration, as specified by UK law.
10. Liability and Indemnity
Saifee Digital Solutions is not liable for errors, omissions, or issues with the delivered work beyond the agreed scope. You agree to indemnify us against any claims arising from the use of the work.
11. Change Orders
Changes or additions to the project scope may result in adjustments to the timeline and cost.
12. SEO Work
Saifee Digital Solutions is not liable for changes due to sudden search engine algorithm updates and is not responsible for the conversion rates or sales outcomes of your products or services.
13. Marketing Contracts
We are responsible for marketing your brand and providing high-quality content. However, conversion or sales outcomes are dependent on external factors beyond our control. Saifee Digital Solutions shall not be held liable for these outcomes.
14. Governing Law
This agreement is governed by and construed in accordance with the laws of the United Kingdom.
15. Updates to Terms and Conditions
We reserve the right to update these Terms and Conditions at our discretion. However, changes made after a specific project agreement will not affect the terms of that existing contract.
