SDS Terms and Conditions

Effective Date: 4th February 2024

1. Scope of Work

Saifee Digital Solutions ("We" or "Us") agrees to provide the client ("You") with the services outlined in the project proposal. The scope of work, deliverables, and timeline will be detailed in the proposal and agreed upon by both parties.

2. Payment Terms

Payment terms with SDS depend on the scope of the project:

For design and marketing services, payment is typically taken upfront before commencing work.

For website development and software solutions, we usually require a 50% deposit before starting the project, with the remaining 50% due upon completion.

  • A 50% non-refundable deposit is required before the commencement of any work.
  • The remaining 50% is due upon completion of the project and before the delivery of the final files or the launch of the website.

Payments are accepted via a Stripe link which will be sent to the client. Clients can also pay using bank transfer if they prefer.

3. Project Timeline

The project timeline will be outlined in the project proposal.

Delays caused by the client (e.g., late provision of materials, feedback, or approvals) may result in an extension of the project timeline.

4. Intellectual Property and Ownership of Files

Saifee Digital Solutions retains ownership of all original design files, code, and intellectual property until full payment is received. Upon full payment, the client will have ownership of the final approved designs or developed website.

Saifee Digital Solutions reserves the right to showcase the completed work in portfolios or marketing materials unless otherwise requested by the client.

5. Revisions

The client is entitled to a specified number of revisions as outlined in the project proposal.

Additional revisions beyond the agreed-upon number may incur additional charges depending on the size and complexity of the changes.

6. Termination

If termination is initiated by the client:

  • If work has not commenced, the client is entitled to a refund of any amounts paid beyond the non-refundable deposit.
  • If work has started, the client is not entitled to a refund of the non-refundable deposit.
  • Refunds for work beyond the deposit will be at the discretion of Saifee Digital Solutions, considering the reason for termination.

If termination is initiated by Saifee Digital Solutions:

  • The client is entitled to a refund for all work not completed.
  • If there has been no handover of files or work, the client is entitled to a full refund, including the deposit amount.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

8. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their control.

9. Dispute Resolution

In the event of a dispute, both parties agree to seek resolution through mediation or arbitration, as specified by UK laws.

10. Liability and Indemnity

Saifee Digital Solutions is not liable for errors, omissions, or issues with the delivered work beyond the agreed scope.

The client agrees to indemnify Saifee Digital Solutions against any claims arising from the use of the work.

11. Change Orders

Changes or additions to the project scope may result in adjustments to the project timeline and cost.

12. Marketing Contracts

For marketing contracts, Saifee Digital Solutions is responsible for marketing your brand and providing high-quality content. While we strive for the highest level of effectiveness, it is important to note that the conversion of leads generated as a result of our marketing efforts is ultimately dependent on various external factors beyond our control. Therefore, Saifee Digital Solutions shall not be held liable for the conversion or sales outcomes resulting from our marketing services.

13. Governing Law

This agreement is governed by and construed in accordance with the laws of the United Kingdom.

14. Updates to Terms and Conditions

Saifee Digital Solutions retains the right to update these Terms of Service at its discretion. However, changes made to these terms after an agreement for a specific project will not affect the terms of that existing contract. The terms and conditions in effect at the time of project agreement will apply throughout the duration of that project.
